• Origin:                     Russian Federation 
• Quantity:                60 000 MT (sixty thousand metric ton) for the first                                         three months + 120000 MT (one hundred twenty                                           thousand) for the next nine months.
• Term:                       12  month
• Price:                        The Price shall and will be determined by the average                                     of the three days around the Bill of Lading Date (one                                     before, BL and one day after) as average of averages                                       quotations as reported by " PLATTS EUROPE                                                   MARKETSCAN" wire under the heading FOB                                                   Med (Italy) for Gasoil 0.1less fixed and firm                                                     discount of 15 USD (fifteen)US Dollars)  per 1(one)                                         metric ton.
• Perform bond:     2 % of the cost of the monthly party of the goods  
• Inspection:            SGS  or similar accredited agency on loading at                                                sellers's expense.

PAYMENT:

• 1. Payment for the Goods shall be made at the latest on the last of three (03) banking days after the date of the documents presentation at the counter of Buyer's  Bank.
• 2. The Payment of the goods is making from the MT103 issued by the Buyer at the presentation by the Seller the following docu ments regulating delivery and payment of the Goods (shipping documents): - Commercial invoice - one (1) original  plus three (3) copies; 
• - Full set 3/3 originals and non-negotiable copies of "Clean on Board" marine  Bill of Lading, issued and signed by the Captain or shipping agent, and indicating the  following:
• * Market "freight payable as per charter party" or "freight prepaid" and "shipped on  board"; 
• - Product description: Certificate of Quality issued or signed by the independent inspectors at the port of loading, confirming quality, conformity to  Contract specifications hereto;
• - Certificate of Quantity issued or signed by the independent inspectors at the  port of loading, indicating quantity in metric tons;
• - Certificate of Origin issued or signed by the Chamber of Commerce or Custom's authorities, specifying the country of origin of the Product;
• - Loading Time Sheet, 1 Original & 1 Copy, signed by master, local agent and SGS;
• - Ullage report, 1 original
• - The Captain's act confirming receipt of sealed control (arbitration) samples;
• - The Captain's act confirming receipt of all the documents excluding commercial invoice.

BANKING PROCEDURE:

• 1. Seller and Buyer sign the contract in electronic form and exchanged in 

electronic form in the constituent documents (including a copy of the proxy signer on). 

• 2. Seller provides Proof of Product (major documents),listed below: 

The resource confirmation of delivery of Diesel fuel L0,05-62 delivery to company << VIT s.r.o >> - Copy of the contract № K-VN-012/PR-013 dated November 25, 2013 for the processing hydrocarbons (first and last page). - Copy of the contract № DD/FSMPmr/N-109/13dated June 10, 2013 with the company OJSC “PGK” for the transportation of Gas Fuel ( Diesel D2) to the port Novorossiysk (first and last page). - Copy of the contract № 297 dated July 9, 2013 with the company “ROSMORAGENT” for receiving, storage, crossing (loading) of the petroleum by-products in the port Novorossiysk (first and last page). - DIP TEST Authorization

• 3. The buyer during 2 (two) of banking days issues the Transferable Standby Letter of  Credit or two Non Transferable SBLC , by one of the first class Banks) which has been  written out in favor of the Seller, as a guarantee of payment for the delivered Goods, with  validity of 396 days, covering two ship volume of delivery equal to 60 000 metric ton
• 4.The Seller issues Laycan ,informs the Buyer about the readiness for Ship ment of  monthly consignment and 2%(Two percent of the SBLC face value)PB which will  activate the SBLC 
• 5. Buyer provide Questionnaires Chartering (Q88) 
• 6 .Buyer makes DIP test and sends his ship to the port of loading.
• 7.Seller loads the Buyer’s ship
• 8.The Buyers Bank after receipt of the completed shipment documents makes immediately payment to the Seller’s Bank by SWIFT MT103 wire transfer  payable 100% at the counter of the Buyer’s Bank. This is upon presentation of  shipping documents 
• 9. The Parties agreed to the transaction Delivery Schedule
