We, Minerals Trade Expert Management as seller mandate, on behalf of the Seller with full Corporate and legal responsibility, under penalty of perjury confirm that we are ready, willing and able to supply the Kerosene Colonial Grade 54 (JP54) as per specifications and in the quantity as specified in the Terms and condition as stated in this offer.

 PRODUCT: Russian JP54 KEROSENE COLONAIL GARDE 54 JET FUEL

 QUANTITY: 1 million barrels lift able; up to 5 Million Barrels per month.

Trials shipment /lifts=1Million bbl’s under (CI-Dip & Pay) &12 months Term Contract /1 Mill BBL’s (Secured by SBLC/BG)

 LIFTABLE: 1 million barrels

 TERM: 12 months with rolls and extensions

 PRICE: NWE Platt’s- 8%/-6% per barrel.

 DELIVERY: FOB Novorossiysk or CIF Rotterdam.

PROCEDURE

 Chapter 1: Seller or Seller’s Mandate (Minerals Trade Expert) issues SCO/FCO

 Chapter 2: End Buyer issues Seller with a ICPO, with handwritten signature and seal, and incorporation documents with the Passport scan of the CEO, being the Authorised Signatory of the buyer, Company Contract, and sends scanned copies to Seller for confirmation of Buyers identify.

 Chapter 3: Seller issues Draft Contract for “Trial Shipment” plus ONE (1) year period, with Seller’s full details (Address & Banking) to the Buyer with rolls and extension up to 4 years period subject to amendment by Buyer and acceptance by Seller.

 Chapter 4: Both Buyer and Seller sign/seal SUPPLY & PURCHASE CONTRACT (SPC) and lodge it in their respectively bank.

 Chapter 5: Seller issues a “Simple List of PPOP», which documents shall be issued following Chapter (6) herein:

1.     Mutual Agreement Document,
2.     Letter of Affirmation from the Ministry of Justice,
3.     Corporate Guarantee / Addendum,
4.     Attestation of Allocation from the Ministry of Energy,
5.     Certificate of Origin issued and endorsed by the Government.

 Chapter 6: Within (7) International Banking days of executing Contract’s, the Buyers Bank issues BCL / POF to Sellers Bank by SWIFT MT799, Bank-to-Bank or issues Pre-Advice by swift by SWIFT MT 705 BANK to BANK

Chapter 7: Within (7) International Banking days of the above, the Sellers Bank issues to Buyers Bank a “Non-Operative” Performance Bond (“PB”) equal to 2% of the Trial Shipment Value.

Chapter 8: Within (7) International Banking Days, the Buyer issues an “Operative”(stand by letter of credit)(«SBLC») / «Bank Guarantee” (“BG”) MT760, with a Validity of 365 Days + 1 Day + 1 Month , which activates the Sellers 2% PB.

Chapter9: Once the Sellers Bank confirms receipt of the Sellers “BG”, within (5)International Banking Days, the Seller will arrange the Loading of the Vessel, and following loading, the Seller sends the Full Proof of Product (“FPOP”) to the Buyer’s Bank by SWIFT.

Chapter 10: Delivery commences as per the schedule pursuant to the Contract. The First Shipment commences within (15) International Banking Days, which each shipment thereafter within (7) International Banking Days, from when the Buyers “BG” has been formerly accepted by the Seller and the Sellers Refinery Supplier.

Chapter 11: After the Shipment arrives at the Buyers nominated Discharge Port and following the completion of the inspection by CIQ or equivalent and completion of the Discharge into the Buyers Discharge port, the Buyers shall effect payment by MT103 (Telegraphic Transfer) “SWIFT”, the due amount to the Sellers bank immediate without delay, after receipt of all the relevant Shipping Document’s, seller’s commercial invoice and Quantity Report’s issues by SGS , CIQ or equivalent at Discharge Port.

Chapter 12: Within (2) Two International Banking Days, following the receipt of the payment from the Buyer to the Seller, the Seller and/or the Sellers Refinery Suppliers Bank, will release and pay all intermediaries in accordance with the instructions received in the NCNDA/IMFPA.

Proof of Product:

Seller to provide Partial Proof of Product (“PPOP”) & Full Proof of Product (“FPOP”) “Bank to Bank” by sending Buyer with the following:-
1. Copy of License / permit to export, issued by the department of the ministry of energy (If applicable).
2. Copy of statement of availability of the product.
3. Copy of the refinery commitment to produce the product.
4. Copy of the pipeline corporation contract to
5. Refinery certificate of product.
6. Copy of the port storage agreement (If applicable).
7. Copy of the charter party agreement(s) to transport the product to discharge port.
8. Copy of SGS or equivalent report.
“100% Payment at Sight”, in which the Buyer shall pay to the Seller by MT103 “SWIFT”, the due amount to the Sellers Bank, after the Buyer is in receipt of all the relevant shipping document’s, Sellers Commercial Invoice, Title Transfer to Buyer, and SGS or equivalent Inspection Report’s at Loading & Discharge Ports.

If Buyer agrees with the offer and provides ICPO in accordance to above procedure then seller provides contract within two working days.
